YAKKL Terms of Use
Terms governing individual and self-service use of YAKKL and its services.
These Terms of Use ("Terms") are an agreement between you and YAKKL, Inc., a Delaware corporation ("YAKKL," "we," "us," or "our"). They govern your individual or self-service use of YAKKL software, applications, websites, AI-assisted development and orchestration features, Ari features, APIs made available under a self-service plan, cloud features, hosted services, support, and related services (collectively, the "Services").
If you use the Services for an organization under a business, team, enterprise, API, or negotiated order, the YAKKL Business Services Agreement applies instead. If you accept these Terms for another person or organization, you represent that you have authority to bind them.
The following are incorporated into these Terms: the AI and Agentic Services Terms, Acceptable Use Policy, Subscription and Credit Unit Terms, Privacy Policy, any service-specific terms, and disclosures shown at checkout or in an applicable order (collectively, the "Agreement"). If terms conflict, the more specific terms control for their subject matter, followed by the order or checkout disclosures and then these Terms, except mandatory law always controls.
1. Eligibility and accounts
You must be at least 18 years old and legally capable of entering a contract. You must provide accurate account information, keep credentials secure, and promptly notify YAKKL of unauthorized access. You are responsible for activity performed through your account unless caused by YAKKL's breach of the Agreement. YAKKL may require multi-factor authentication (including an authenticator application) and may require re-authentication or step-up verification before purchases, credential changes, or other sensitive actions.
Your account and each paid individual license seat may be used by only one natural person. You may not share credentials, allow another person to use your seat, pool access, or resell account access. If another person wants continued access, that person must obtain a separate account and, where applicable, purchase a separate seat at the applicable price. YAKKL may restrict shared access until the additional seat is purchased or the sharing stops. You may use supported automation, agents, APIs, and integrations as the Services are designed to permit. Usage remains subject to plan limits, technical safeguards, and the Acceptable Use Policy.
If you register using an organization-controlled email address, the organization may ask to place the account under its managed workspace. We will provide notice where reasonably practicable. Once transferred, the organization's administrator may control the workspace and account, access workspace content and records according to its settings, restrict features, or remove access. Use a personal address for work you do not want controlled by an organization.
2. The Services
Subject to the Agreement, YAKKL grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services during the applicable term. YAKKL may provide local software, cloud services, model routing, managed execution, customer-selected provider routing, custom endpoints, code and artifact generation, agentic actions, storage, collaboration, deployment, or hosting.
Features, models, providers, capacity, limits, and interfaces may change as the Services develop. Material adverse changes to a paid Service will receive reasonable advance notice where practicable. Preview, beta, evaluation, and experimental features may change or end without notice and may have additional terms.
Open-source components are governed by their applicable licenses. Those licenses control over these Terms for the relevant component if they conflict.
3. Customer Content and Output
"Customer Content" means prompts, instructions, source code, repository content, files, plans, messages, records, tool inputs and results, hosted content, and other material you or your authorized users submit to or make available through the Services. "Output" means code, text, plans, artifacts, responses, actions, or other results generated for you through the Services. Customer Content and Output together are "Content."
As between you and YAKKL:
- You retain all rights you have in Customer Content.
- To the extent permitted by law, you own Output. YAKKL assigns to you any right, title, and interest YAKKL may have in Output.
- Output may not be unique. Other customers may receive identical or similar output, and this assignment does not grant rights in anyone else's content, third-party material, or YAKKL technology.
You grant YAKKL only the limited, worldwide, non-exclusive rights reasonably necessary to provide, secure, maintain, support, and administer the Services and features you select; comply with your instructions; prevent abuse; and comply with law. This license ends when the relevant Content is deleted from YAKKL-controlled systems, subject to limited backup, legal, security, and dispute-retention periods.
YAKKL will not use Customer Content or Output to train an AI model and will not authorize a third party to do so on YAKKL's behalf. Feedback that you intentionally submit about YAKKL is separate from Customer Content. You grant YAKKL a perpetual, worldwide, royalty-free right to use Feedback without identifying you, but Feedback does not include code, prompts, files, Output, or confidential information merely because they accompany a support request.
YAKKL personnel do not inspect Customer Content as part of ordinary product analytics. Personnel access is limited to what is reasonably necessary for support you request, security or abuse investigation, legal compliance, or operation of a managed feature that cannot be provided through automated processing alone. Access must be authorized and appropriately logged or recorded.
You represent that you have the rights and permissions needed for Customer Content and your requested use of Output. You are responsible for Content and for complying with applicable law, third-party rights, licenses, and contractual duties.
4. Usage Data
YAKKL may create and use technical logs and measurements about how the Services are used ("Usage Data") for billing, capacity, routing, reliability, security, support, analytics, and product operation. Usage Data excludes Customer Content. YAKKL may own and retain Usage Data that has been aggregated or de-identified so it cannot reasonably identify you, an authorized user, or an organization. YAKKL will not attempt to re-identify de-identified Usage Data except to test and improve de-identification safeguards or as required by law.
5. AI and agentic features
AI models make mistakes. Output may be incomplete, inaccurate, insecure, biased, offensive, outdated, non-unique, or unsuitable. Code may contain defects, vulnerabilities, incompatible licenses, or dependencies. Agents may create, alter, move, publish, deploy, or delete files and resources; run commands; make network requests; use credentials; interact with repositories and third-party services; or incur fees when you authorize those capabilities.
Output and Actions can appear correct, complete, and confident while still being wrong. You are responsible for validating all Output and Actions before relying on them. You must review and test Output and Actions before relying on them, especially for production, security, safety, legal rights, employment, finance, healthcare, or other consequential uses. Do not treat Output as the sole source of truth or as professional advice. The AI and Agentic Services Terms contain additional requirements and control for these features.
6. Third-party providers, BYOK, and custom endpoints
You may be able to connect your own provider account or API key ("BYOK"), choose a third-party service, or send requests to a custom endpoint. When routing is direct, your request and response payloads — prompts, Content, and completions — travel directly from your client to the AI provider associated with your API keys or credentials; YAKKL does not receive those payloads. Separately from request payloads, the YAKKL client may send operational telemetry, diagnostics, and usage data to YAKKL as described in the Privacy Policy; that data is designed to exclude Content. The selected provider or endpoint processes data under its own terms and privacy practices, bills you directly where applicable, and is responsible for its service.
If you select YAKKL-managed or YAKKL-routed execution, YAKKL may process and route Content to model, hosting, retrieval, security, or infrastructure providers acting for YAKKL. Managed usage may consume CU or incur fees. Providers, models, terms, and technical behavior change; current information will be made available in the Service, documentation, or the subprocessor register as applicable.
YAKKL is not responsible for a third-party account, endpoint, integration, extension, model, output, availability, security, pricing, charge, or change that it does not control. "Integration" includes any connector, extension, add-on, tool, protocol server, API, or third-party service connected to YAKKL; it does not mean advertising.
7. Restrictions
You may not:
- violate law, third-party rights, or the Acceptable Use Policy;
- gain unauthorized access to the Services or another person's systems, data, credentials, or account;
- interfere with the Services, evade usage limits or safety controls, introduce malicious code, or use the Services to harm others;
- reverse engineer non-open-source portions of the Services except where law prohibits this restriction;
- copy, lease, sell, sublicense, or distribute the Services themselves except through an authorized YAKKL feature or written agreement;
- misrepresent AI Output as human-generated where that would deceive or violate law;
- use the Services or Output to develop, train, or improve an AI model or service that competes with the Services; or
- use YAKKL's name, marks, or branding without authorization.
These restrictions do not prohibit supported automation, programmatic use, agent execution, interoperability, good-faith security research, or use of Output to build your own products (other than a competing AI model or service), subject to the Agreement and applicable law.
Export controls and sanctions. The Services and Output may be subject to U.S. and other export-control and sanctions laws. You represent that you are not located in, ordinarily resident in, or acting on behalf of a person in a country or region subject to comprehensive U.S. sanctions; that you are not listed on any applicable denied-party or sanctions list; and that you will not use, export, re-export, or transfer the Services or Output in violation of export-control or sanctions laws, including for prohibited end uses.
8. Subscriptions, fees, Credit Units, and taxes
Paid Services may be recurring subscriptions, usage-based services, purchased CU, promotional CU, or combinations of them. Prices, tier features, renewal periods, seat minimums, CU allotments, CU expiration, and other purchase terms are disclosed at checkout, on the pricing page, in the Service, or in an order. The Subscription and Credit Unit Terms apply.
Subscriptions automatically renew until canceled. You authorize YAKKL and its payment processor to charge the applicable fees and taxes. You may cancel through the account settings or another method made available by YAKKL. Cancellation stops future renewal and normally takes effect at the end of the current paid term.
Payments are non-refundable and CU have no cash value, except where applicable law requires otherwise. CU purchases require the affirmative acknowledgment described in the Subscription and Credit Unit Terms, including that unused CU are forfeited when your subscription ends. Charges made in accordance with the Agreement — including consumption by agents and automation operating within the permissions and limits you enabled — are authorized charges, and the Subscription and Credit Unit Terms govern payment disputes and chargebacks. Mandatory cancellation, withdrawal, refund, and renewal rights are not waived.
9. Hosted and public content
If a Service lets you deploy or host a website, application, artifact, or other content, you remain responsible for that content, the domain and configuration, end-user notices and consents, security, accessibility, licenses, moderation, and applicable law. You authorize YAKKL to host, transmit, cache, display, and technically modify the content only as needed to provide the hosting service.
YAKKL may remove or restrict content reasonably believed to violate the Agreement, law, or third-party rights, and may preserve it when legally required. YAKKL does not endorse customer-hosted content. Copyright complaint procedures will apply when YAKKL activates the applicable hosted-content program.
10. Publicity and communications
YAKKL will not use your individual name, image, or endorsement in marketing without permission. If you submit a testimonial for publication, you grant YAKKL a non-exclusive, worldwide, royalty-free license to use the approved testimonial and attribution until you withdraw permission prospectively. Withdrawal does not require recall of materials already printed or irrevocably committed to production.
YAKKL may send transactional and administrative communications. You may opt out of marketing communications, but not service, security, billing, or legal notices needed for your account.
11. Suspension, termination, and appeals
You may stop using the Services at any time and may delete your account through available controls. YAKKL may suspend or terminate access if reasonably necessary because of material breach, nonpayment, security risk, harm, legal requirement, provider unavailability, or conduct that threatens YAKKL, users, or third parties. When practicable, YAKKL will provide notice and an opportunity to cure. Immediate action may be taken for urgent security, legal, or harm-prevention reasons.
You may appeal an enforcement decision by contacting support@yakkl.com. YAKKL will review the appeal in good faith but may maintain restrictions needed to protect the Services or comply with law.
Upon termination, access ends and Content will be handled under the Privacy Policy, product retention settings, and applicable law. Sections intended by their nature to survive will survive, including ownership, fees owed, disclaimers, liability limits, disputes, and general terms.
12. Changes and discontinuation
YAKKL may update these Terms or the Services for legal, security, operational, commercial, or technical reasons. We will provide at least 30 days' advance notice of a material change that adversely affects an existing paid subscription, unless a shorter period is required for urgent legal or security reasons. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Services and cancel before renewal. An update does not apply to a dispute of which both parties had written notice before the update's effective date.
If YAKKL discontinues a paid Service for reasons other than your breach, YAKKL will use commercially reasonable efforts to automatically migrate you to a materially comparable YAKKL service without increasing the recurring subscription price during your then-current paid term. YAKKL will preserve the remainder of that term and provide economically equivalent treatment for unexpired purchased CU where practicable. If a comparable migration is unavailable, YAKKL may continue access through the paid term, provide substitute service value or credits, or end the Service as required by law. Cash refunds are not provided except where law requires them.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT, ACTIONS, AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." YAKKL AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
YAKKL DOES NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; THAT OUTPUT WILL BE UNIQUE OR SUITABLE FOR YOUR PURPOSE; OR THAT CONTENT WILL NOT BE LOST OR ALTERED. YOU ARE RESPONSIBLE FOR APPROVALS, BACKUPS, TESTING, SECURITY REVIEW, AND USE OF OUTPUT AND ACTIONS.
Some jurisdictions do not allow certain disclaimers, so they apply only to the maximum extent permitted by law.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAKKL AND ITS AFFILIATES, PERSONNEL, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, BUSINESS, OPPORTUNITY, OR DATA; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; OR LOSSES ARISING FROM OUTPUT, ACTIONS, THIRD-PARTY SERVICES, CUSTOMER CONFIGURATION, OR FAILURE TO MAINTAIN BACKUPS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF YAKKL AND THOSE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE AGREEMENT OR SERVICES WILL NOT EXCEED: (A) FOR THE EXPLORER TIER OR ANY OTHER FREE, TRIAL, EVALUATION, GUIDED-TOUR, PREVIEW, OR NO-CHARGE ACCESS, HOWEVER NAMED, $0; OR (B) FOR A BUILDER OR ORCHESTRATOR PLAN, THE FEES YOU ACTUALLY PAID YAKKL THAT ARE ATTRIBUTABLE TO ONE LICENSE SEAT OF THE AFFECTED SERVICE FOR THE SIX MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM OR SERIES OF RELATED CLAIMS.
THE TIER NAMES ABOVE ARE THE TIERS IDENTIFIED IN THE SUBSCRIPTION AND CREDIT UNIT TERMS AND YOUR PURCHASE OR ACCOUNT RECORD. THE CAP CATEGORY FOLLOWS THE TIER IN THAT RECORD, INCLUDING UNDER ANY SUCCESSOR TIER NAME. THIS IS ONE AGGREGATE CAP FOR ALL CLAIMS UNDER THE AGREEMENT. IT DOES NOT RENEW OR MULTIPLY BASED ON THE NUMBER OF CLAIMS, EVENTS, SERVICES, LEGAL THEORIES, OR YAKKL PARTIES AGAINST WHICH A CLAIM IS ASSERTED. IF A DIFFERENT SELF-SERVICE PLAN IS OFFERED, ITS CHECKOUT TERMS MUST IDENTIFY WHICH OF THE ABOVE CAP CATEGORIES APPLIES.
These limitations do not apply where prohibited by law and do not limit liability or remedies that cannot legally be waived or limited. They apply regardless of legal theory and even if a remedy fails of its essential purpose.
15. Indemnity for organizational use
If you use the Services for a business or organization under these self-service Terms, to the extent permitted by law you will defend, indemnify, and hold harmless YAKKL, its affiliates, and personnel from third-party claims, losses, and reasonable legal fees arising from your Customer Content, your hosted content, your violation of the Agreement or law, or your use of the Services in violation of another person's rights. This obligation does not apply to the extent the claim was caused by YAKKL's breach, gross negligence, or willful misconduct.
16. Dispute resolution
Informal resolution. Before filing a claim, you and YAKKL will attempt in good faith to resolve it. The claimant must send an individualized written notice describing the facts, requested relief, and contact information. Notices to YAKKL must be sent to legal@yakkl.com. If the dispute is not resolved within 60 days after a complete notice is received, either party may proceed. Any applicable statute of limitations or contractual filing deadline is tolled while the informal-resolution process is pending.
Individual arbitration. Except for the exceptions below, disputes arising from the Agreement or Services will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and the Federal Arbitration Act. The arbitration should be conducted by video or documents when reasonable. Any in-person hearing will occur in a location required by applicable consumer law or otherwise reasonably convenient for you. Fees will be allocated under the applicable AAA rules. The arbitrator may award individual relief available in court.
Opt-out. You may opt out of arbitration by emailing legal@yakkl.com within 30 days after first accepting these Terms. Include your account email, full name, and a clear statement that you opt out of arbitration. Opting out does not affect other Agreement terms.
Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek injunctive or equitable relief in court to stop unauthorized access to or attacks on systems, or infringement or misappropriation of intellectual property or confidential information. Government agencies retain their lawful authority.
No class proceedings. To the extent permitted by law, disputes must be brought only on an individual basis, not as a class, collective, consolidated, or representative action. Class, collective, consolidated, or representative arbitration is not permitted. If the class-action waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and all remaining claims proceed in individual arbitration; the class-action waiver is not severable from this arbitration agreement for any claim proceeding in arbitration. You and YAKKL waive jury trial to the extent permitted by law.
Coordinated filings. If 25 or more substantially similar arbitration demands are filed, whenever filed, by or with the assistance of the same, coordinated, or related counsel or organizations, the parties will ask AAA to administer them in batches, with staged bellwether proceedings and mediation, under an agreed or AAA-approved process designed to resolve the claims fairly and efficiently. This provision does not eliminate any claimant's individual claim or remedy.
Governing law. The arbitration agreement is governed by the Federal Arbitration Act. The Agreement and any dispute are otherwise governed by Delaware law, without regard to conflict-of-law rules, except that mandatory consumer-protection law of your place of residence applies where it cannot be varied by agreement. The version of this dispute-resolution section in effect when a dispute arises governs that dispute. If the arbitration agreement is found unenforceable for a claim, that claim will be heard in a state or federal court with proper jurisdiction, subject to mandatory consumer-law venue rights.
17. General
The Agreement is the entire agreement concerning the Services and supersedes prior statements on that subject. You may not assign it without YAKKL's written consent. YAKKL may assign it to an affiliate or in connection with a merger, financing, reorganization, or sale of all or substantially all of the assets or business to which the Agreement relates. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce is not a waiver.
Neither party is liable for delay or failure caused by events beyond reasonable control, except payment obligations. Headings are for convenience. "Including" means "including without limitation." Electronic acceptance and notices are valid. The English version controls unless law requires otherwise.
