YAKKL Subscription and Credit Unit Terms
Subscription, renewal, seat, payment, and Credit Unit terms for YAKKL services.
These Subscription and Credit Unit Terms ("Billing Terms") supplement the YAKKL Terms of Use or YAKKL Business Services Agreement, as applicable (the "Base Terms"). They govern subscriptions, seats, usage-based Services, Credit Units, promotional offers, renewals, cancellation, and billing.
1. Orders and purchase disclosures
The pricing page, checkout, Order Form, and in-product purchase screen will identify, as applicable:
- plan or tier;
- included features, usage limits, and support level;
- monthly or annual billing interval;
- price, currency, taxes, and whether price is per seat;
- minimum seats and authorized purchasing controls;
- whether the subscription renews automatically and how to cancel;
- included monthly Credit Units ("CU");
- purchased CU amount, price, eligibility, and expiration date;
- promotional CU amount, restrictions, and expiration date;
- cloud retention period and material downgrade effects; and
- any founding, introductory, or promotional terms.
The disclosures accepted at purchase are part of the agreement. If a general description conflicts with the final checkout or signed Order, the final checkout or Order controls for that purchase unless law requires otherwise.
Tier schedule
YAKKL licenses the following paid tiers. The checkout, pricing page, or Order Form identifies the tier for each purchase, and that purchase record controls which tier's terms — including the applicable liability-cap category under the Base Terms — govern the purchase, including under any successor tier name.
There is no free plan and no evaluation trial. Access requires one of the paid licenses below. The first paid billing period is the evaluation; cancel before renewal if the product is not yours.

Tier features, limits, and prices are described on the pricing page and at checkout. If YAKKL renames a tier, the renamed tier remains subject to the same category of terms and the same liability-cap category unless a change is disclosed under Section 3.
2. Subscriptions and automatic renewal
Paid subscriptions begin when activated and continue for the selected billing period. Unless stated otherwise at purchase, subscriptions automatically renew for successive periods of the same length until canceled.
You authorize YAKKL and its payment processor to charge the payment method on file for renewal fees, usage charges you authorize, seat changes, taxes, and other disclosed amounts. YAKKL will provide renewal reminders where required by law or promised at purchase.
You may cancel through account settings, the same general channel used to subscribe where required, or by contacting support@yakkl.com. Cancellation does not end your subscription immediately: it stops future renewal, and your subscription and access continue through the end of the period already paid. Removing the application or stopping use does not cancel billing.
Mandatory renewal, cancellation, notice, and withdrawal rights under applicable law are not waived.
3. Plan and price changes
YAKKL may change public plan features and prices prospectively. YAKKL will provide at least 30 days' notice of any price increase. A price increase for an existing recurring subscription will take effect no earlier than the next renewal after that notice, unless a longer period is required by law or an Order. A material increase to the published CU consumption-rate schedule for a Service — the schedule that determines how many CU an operation consumes — is a price increase for purposes of this Section and will also receive at least 30 days' notice before taking effect. A consumption-rate increase applies prospectively only and does not apply to usage already recorded.
Founding, grandfathered, or promotional pricing is governed by the exact offer accepted. "Locked for the life of your subscription" means the disclosed recurring base subscription price remains while the subscription stays continuously active and in good standing for the same eligible plan, subject to taxes, added seats, added Services, usage charges, CU purchases, plan changes, payment failure, fraud, abuse, and any limits stated in the offer.
YAKKL may add features without charge, introduce optional paid features, or charge for usage beyond included limits if the charge is disclosed before use or enabled by an authorized purchaser.
4. Upgrades, downgrades, and seats
An upgrade may take effect immediately with a prorated charge or credit as disclosed. A downgrade generally takes effect at the next renewal and may reduce features, limits, CU eligibility, cloud retention, history, collaboration, or support. Export or delete data before a downgrade takes effect if the shorter retention will matter.
Plans may be priced per seat and have minimum seat counts. Each account credential and paid license seat is for one named natural person at a time. Credentials may not be shared, and seats may not be concurrently used, rotated, or pooled among multiple people to avoid licensing. A seat may be reassigned for a legitimate personnel or administrative change. If another person wants continued access, that person must be assigned a separately purchased seat at the applicable contracted or then-current price. Customer is responsible for purchases and seat additions by authorized administrators. Seat reductions take effect at the next renewal unless stated otherwise.
The pricing page, checkout, or Order Form must identify the tier, per-seat price or pricing method, and purchased seat count. These records may also be used to calculate an applicable contractual liability cap under the Base Terms; purchasing more seats does not increase that cap beyond the seat limit stated in the Base Terms or a negotiated Enterprise Order Form.
YAKKL does not offer a no-charge evaluation trial. The first paid billing period is the evaluation. Cancel before renewal to stop the next charge.
5. Credit Units defined
CU are limited, revocable contractual rights to consume specified YAKKL-managed Services before the applicable expiration. CU may represent blended work including model input and output, reasoning, caching, retrieval, routing, tool execution, compute, storage, and other managed operations.
CU are not money, legal tender, stored value, a bank account, a deposit, a security, a commodity, a gift card, or a transferable asset. CU cannot be sold, transferred, pledged, redeemed for cash, or used outside eligible YAKKL Services. CU do not represent a fixed model-token count, provider rate, amount of compute, or vendor cost.
6. CU categories and expiration
YAKKL may issue:
- Monthly plan CU. Included with an active subscription, available for the applicable monthly cycle, and use-it-or-lose-it. They reset and expire at the end of the disclosed cycle and do not roll over unless the plan expressly says otherwise.
- Purchased CU. Bought in a block for an eligible plan, in advance of use. Each block has an expiration date or period disclosed before purchase and in the account. Expiration periods vary by plan and block size: smaller blocks may have expiration periods as short as 30 days, while larger blocks generally carry a lower per-CU price and a longer expiration period of up to 365 days. While your subscription remains active, a purchased block remains available until used or expired under its own disclosed schedule, whether or not your billing period renews in the interim; a purchased block is not shortened merely because a monthly billing cycle ends.
- Promotional CU. Granted without separate payment or as part of a promotion. They expire under the disclosed offer and may have narrower eligibility.
All CU expire if not used by their applicable expiration date, except where law prohibits expiration. The application will display balances and expiration information. CU generally will be consumed from the eligible balance expiring first, but technical, provider, account, or promotion rules may require a different order disclosed in the Service.
Expiration is based on the timezone and cutoff disclosed in the account or, if none is shown, UTC. Account suspension does not automatically extend expiration, except that if YAKKL reverses a suspension as issued in error, YAKKL will extend affected CU by the suspension period. YAKKL may extend CU as a service accommodation without creating an obligation to do so again.
CU require an active subscription. CU are usable only with an active, eligible subscription. If your subscription ends for any reason — cancellation, non-renewal, downgrade below the eligible plan without the conversion described in Section 12, or termination — unused CU of every category, including purchased CU that have not yet reached their disclosed expiration, expire and are forfeited when the subscription ends, except where applicable law requires otherwise. Because cancellation takes effect at the end of the paid period already started, you may continue using eligible CU until that period ends.
Purchase acknowledgment. Each CU purchase requires an affirmative acknowledgment at checkout confirming that: (a) the purchase is non-refundable except where applicable law requires otherwise; (b) the block expires on the schedule disclosed at purchase; and (c) unused CU — including purchased CU that have not reached their disclosed expiration — are forfeited when the subscription ends. A CU purchase cannot be completed without this acknowledgment, and the acknowledgment is preserved as part of the purchase record.
Human purchase requirement. Purchases and checkout acknowledgments must be completed by a natural person. Completing or attempting to complete a purchase using bots, scripts, automation, or agents is prohibited. YAKKL may present verification steps designed to confirm human interaction — including varied acknowledgment formats, confirmation prompts, and timing checks — and may decline, hold, or reverse a purchase that YAKKL reasonably believes was completed by automated means or without valid authorization. Interaction signals collected during checkout are used for security and fraud prevention as described in the Privacy Policy.
7. CU metering and reconciliation
CU consumption depends on the Service, model, input/output size, reasoning effort, routing, retries, caching, retrieval, tool execution, compute, storage, and other work. YAKKL may publish estimates or schedules for common operations, but actual usage can vary.
YAKKL will provide good-faith usage records in the application, including balances and, where feasible, breakdowns by model, workflow, operation, or time period. These records are intended to help customers reconcile usage.
Exact real-time attribution is not guaranteed because providers use different metering, delayed reporting, cache rules, minimum charges, tokenization, rounding, retries, and adjustments. CU reflect YAKKL's blended service rates, not a pass-through of a provider invoice. YAKKL does not guarantee a specific number of tokens, calls, tasks, provider dollars, or output for a CU.
YAKKL may correct manifest metering errors, duplicate or omitted records, delayed provider reports, fraud, chargebacks, or technical failures. Material corrections that increase recorded consumption will be disclosed in the account or by notice, will normally be recorded within 90 days after the underlying usage event, and will not result in a new charge to your payment method without prior notice. YAKKL will credit CU consumed by a demonstrated YAKKL metering malfunction, such as an erroneous retry loop or duplicate metering of a single operation. A customer may dispute a correction within 30 days by providing relevant usage details. YAKKL's system records control absent a demonstrated material error.
8. BYOK and custom endpoints
Direct BYOK or custom-endpoint usage is normally billed by the selected provider or endpoint and does not consume managed-execution CU unless a YAKKL feature, relay, storage, retrieval, routing, governance, or other paid service is selected. Any YAKKL fee or CU charge for that path will be disclosed in the Service or Order.
You are responsible for third-party provider charges, limits, credentials, account security, and terms. YAKKL is not responsible for charges on a provider account caused by your configuration, credentials, Users, agents, or custom endpoint.
9. Payment, taxes, and failed charges
Fees are due in the currency and on the schedule disclosed. You must maintain a valid payment method and accurate billing information. Prices exclude taxes unless stated otherwise. YAKKL may calculate and collect legally required taxes. YAKKL may require re-authentication, multi-factor verification, or other step-up verification before completing a purchase or other sensitive account action.
Crypto payments. Where offered, YAKKL may accept payment in supported digital assets. Crypto payments are processed through a third-party or affiliated payment gateway and may be converted to a stablecoin or fiat currency at or near the time of payment; the amount credited is the disclosed price at the quoted conversion rate within the quote validity window shown at checkout. You are responsible for network and transaction fees and for sending the exact amount, in the correct asset, on the correct network, to the exact address shown, before the quote expires; digital-asset transfers sent incorrectly may be unrecoverable, and YAKKL is not responsible for losses caused by your transfer errors. Confirmed crypto payments are final and irreversible and are not subject to chargeback, reversal, or clawback. Any refund, credit, or other remedy required by applicable law or granted at YAKKL's discretion for a crypto-paid purchase may be provided in U.S. dollars or YAKKL service credit at the value credited at the time of payment, not in the original digital asset. YAKKL and its gateway may screen transactions and wallet addresses for sanctions, fraud, and financial-crime risk, and may decline, hold, or return a payment and restrict the associated account where screening results or law require. YAKKL does not provide wallet, custody, exchange, investment, or money-transmission services through checkout, and digital-asset price volatility is your risk. Crypto-paid purchases of subscriptions and CU receive the same disclosures and acknowledgments, and are subject to the same expiration and forfeiture rules, as any other purchase.
If payment fails, YAKKL may retry, notify you, limit paid features, downgrade, or suspend access. You remain responsible for amounts incurred before suspension and reasonable chargeback or collection costs where legally permitted. YAKKL will not delete cloud Customer Content solely because of one failed payment without the notice and retention period disclosed for the plan, except for urgent security or legal reasons.
11. Service changes and automatic migration
If YAKKL discontinues a paid Service for reasons other than customer breach, YAKKL will use commercially reasonable efforts to:
- provide reasonable advance notice where practicable;
- automatically migrate the customer to a materially comparable YAKKL service;
- avoid increasing the recurring subscription price during the then-current paid term;
- preserve the remaining paid term; and
- convert or preserve unexpired purchased CU at economically equivalent service value where practicable.
A comparable service may use different features, providers, models, interfaces, or CU schedules if it preserves the Service's material commercial function and remaining paid value.
If no materially comparable migration is available, YAKKL may continue the affected Service through the paid term, provide substitute YAKKL service value or credits, or terminate the affected Service using a remedy required by applicable law or expressly stated in an Order. YAKKL does not provide cash refunds except where law requires them.
Provider shutdowns, legal prohibitions, security emergencies, force-majeure events, and third-party platform changes may require a shorter transition. YAKKL will use commercially reasonable efforts to minimize disruption.
12. Suspension, termination, and CU
If a subscription or account ends at the customer's choice — including cancellation or non-renewal — or for breach, fraud, abuse, an improper payment dispute, or nonpayment, unused CU expire and are forfeited when the subscription ends, as acknowledged at CU purchase under Section 6, unless law requires otherwise. If YAKKL terminates an account without customer breach, the migration and substitute-value rules above apply to unexpired purchased CU.
CU associated with a specific plan may become ineligible after a downgrade. The Service will disclose whether they remain usable through expiration, convert, or require the original plan. Purchased CU must not silently become unusable before their disclosed expiration without a migration or substitute-value mechanism.
